Acest cadru, expus \u00eentr-un proiect de Ordonan\u021b\u0103 de urgen\u021b\u0103 din mai 2025, marcheaz\u0103 o schimbare major\u0103, trec\u00e2nd de la reguli limitate la o abordare unitar\u0103, armonizat\u0103 la nivelul UE.<\/p>\n<p class=\"p1\">Companiile care desf\u0103\u0219oar\u0103 activit\u0103\u021bi de criptoactive \u00een Rom\u00e2nia vor fi supuse unor <b>cerin\u021be clare de licen\u021biere<\/b>, supravegherii din partea autorit\u0103\u021bilor na\u021bionale <b>ASF<\/b> \u0219i <b>BNR<\/b>, unor termene definite de conformitate \u0219i unor obliga\u021bii \u0219i sanc\u021biuni stricte \u00een cadrul regimului aliniat la MiCA. Prezentare general\u0103 a MiCA \u0219i a cadrului de reglementare a criptoactivelor \u00een Rom\u00e2nia<\/h2><\/h3><\/div><div class=\"fusion-text fusion-text-2\"><p class=\"p1\">Regulamentul MiCA al UE este primul cadru juridic cuprinz\u0103tor pentru activele digitale la nivel european. Acesta a intrat \u00een vigoare la mijlocul anului 2023, \u00eens\u0103 multe dispozi\u021bii (\u00een special cele referitoare la furnizorii de servicii cu criptoactive, sau <i>CASP<\/i>) se aplic\u0103 abia dup\u0103 o perioad\u0103 de tranzi\u021bie menit\u0103 s\u0103 ofere statelor membre timp de preg\u0103tire. MiCA instituie reguli uniforme pentru emiterea criptoactivelor (precum monedele stabile \u0219i jetoanele utilitare) \u0219i pentru companiile care furnizeaz\u0103 servicii cu criptoactive (platforme de schimb, depozitari etc.), urm\u0103rind protejarea investitorilor \u0219i a stabilit\u0103\u021bii financiare. \u00cencep\u00e2nd cu <b>30 decembrie 2024<\/b>, MiCA se aplic\u0103 integral \u00een toate \u021b\u0103rile UE, inclusiv cerin\u021bele esen\u021biale pentru CASP.<\/p>\n<p class=\"p1\"><b>Implementarea MiCA \u00een Rom\u00e2nia<\/b> s-a realizat printr-o Ordonan\u021b\u0103 de urgen\u021b\u0103 a Guvernului (OUG) elaborat\u0103 \u00een 2025 de Ministerul Finan\u021belor. Acest proiect de act normativ (preconizat a fi adoptat \u00een 2025) stabile\u0219te m\u0103surile na\u021bionale necesare pentru aplicarea local\u0103 a dispozi\u021biilor MiCA. Acesta desemneaz\u0103 autorit\u0103\u021bile competente, instituie un cadru de autorizare \u0219i supraveghere pentru companiile cu activitate cripto \u0219i introduce obliga\u021bii \u0219i sanc\u021biuni specifice de conformitate. Ordonan\u021ba acoper\u0103 aspecte esen\u021biale precum licen\u021bierea CASP, reglementarea bancomatelor cripto (Crypto ATM), cerin\u021bele tehnice, obliga\u021biile fiscale \u0219i m\u0103surile tranzitorii pentru companiile deja active pe pia\u021b\u0103. \u00cen fapt, Rom\u00e2nia trece de la un mediu cripto fragmentat sau permisiv la un <b>regim unitar conform MiCA<\/b>, aliniat la standardele europene. Aceasta este o evolu\u021bie semnificativ\u0103 pentru <b>reglementarea criptoactivelor \u00een Rom\u00e2nia<\/b>, deschiz\u00e2nd pia\u021ba standardelor europene \u0219i asigur\u00e2nd <b>conformitatea MiCA<\/b>.<\/p>\n<\/div><div class=\"fusion-title title fusion-title-2 fusion-sep-none fusion-title-text fusion-title-size-three\" style=\"--awb-margin-top:50px;\"><h3 class=\"fusion-title-heading title-heading-left\" style=\"margin:0;\"><h2><strong> 2. Principalele autorit\u0103\u021bi de reglementare: ASF \u0219i BNR<\/strong><\/h2><\/h3><\/div><div class=\"fusion-text fusion-text-3\"><p class=\"p1\">\u00cen noul cadru, dou\u0103 autorit\u0103\u021bi \u00eempart responsabilitatea supravegherii criptoactivelor \u00een Rom\u00e2nia:<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\"><b><a href=\"https:\/\/asfromania.ro\/en\/\" target=\"_blank\" rel=\"noopener\">Autoritatea de Supraveghere Financiar\u0103<\/a> (ASF)<\/b> \u2013 autoritatea de reglementare a sectorului financiar nebancar din Rom\u00e2nia.<span class=\"Apple-converted-space\">  <\/span>Aceasta este autoritatea principal\u0103 pentru sectorul criptoactivelor. ASF va autoriza \u0219i supraveghea furnizorii de servicii cu criptoactive (CASP) \u0219i va monitoriza majoritatea activit\u0103\u021bilor din pia\u021ba cripto. \u00cen practic\u0103, atribu\u021biile ASF acoper\u0103 emiterea celor mai multe criptoactive (cu excep\u021bia celor calificate drept moned\u0103 electronic\u0103) \u0219i furnizarea de servicii cu criptoactive, <b>inclusiv, \u00een mod expres, operarea bancomatelor cripto<\/b>. Cu alte cuvinte, companiile care ofer\u0103 servicii de schimb, tranzac\u021bionare, custodie, consultan\u021b\u0103 sau de tip ATM pentru criptoactive \u00een Rom\u00e2nia vor intra, \u00een general, sub <b>regimul de licen\u021biere cripto<\/b> \u0219i supravegherea ASF.<\/li>\n<li class=\"li1\"><b><a href=\"https:\/\/www.bnr.ro\/en\/642-home\" target=\"_blank\" rel=\"noopener\">Banca Na\u021bional\u0103 a Rom\u00e2niei<\/a> (BNR)<\/b> \u2013 banca central\u0103 \u2013 este \u00eens\u0103rcinat\u0103 cu domeniile \u00een care criptoactivele intersecteaz\u0103 activitatea bancar\u0103. BNR va supraveghea activit\u0103\u021bile cu criptoactive desf\u0103\u0219urate de <b>institu\u021bii de credit<\/b> (b\u0103nci) \u0219i emiterea <b>monedelor stabile<\/b> care se calific\u0103 drept jetoane de moned\u0103 electronic\u0103 (EMT). De exemplu, dac\u0103 o banc\u0103 rom\u00e2neasc\u0103 emite o moned\u0103 stabil\u0103 sau un jeton legat de o moned\u0103 fiat (EMT), BNR este autoritatea competent\u0103. \u00cen schimb, dac\u0103 o entitate nebancar\u0103 emite un <b>jeton raportat la active (ART)<\/b> (un jeton cripto raportat la un co\u0219 de active) sau orice alt criptoactiv, ASF va fi cea care \u00eel supravegheaz\u0103. Aceast\u0103 \u00eemp\u0103r\u021bire asigur\u0103 roluri clare: ASF gestioneaz\u0103 majoritatea companiilor cripto, \u00een timp ce BNR se ocup\u0103 de produsele cripto bancare \u0219i de <b>supravegherea cripto<\/b> a emiten\u021bilor de moned\u0103 stabil\u0103.<\/li>\n<\/ul>\n<p class=\"p1\">ASF \u0219i BNR vor coopera \u00eendeaproape. ASF este desemnat\u0103 drept punct unic de contact al Rom\u00e2niei cu Autoritatea European\u0103 pentru Valori Mobiliare \u0219i Pie\u021be (ESMA), iar BNR este punctul de contact cu Autoritatea Bancar\u0103 European\u0103 (EBA). Acestea pot, de asemenea, beneficia de sprijinul altor institu\u021bii publice pentru expertiz\u0103 tehnic\u0103, fiscal\u0103 sau de securitate \u2013 precum agen\u021biile rom\u00e2ne de IT \u0219i securitate cibernetic\u0103 ori autoritatea pentru protec\u021bia consumatorilor. \u00cen mod notabil, \u00eenainte ca ASF s\u0103 acorde orice licen\u021b\u0103 cripto, este necesar un <b>aviz tehnic<\/b> asupra sistemelor IT ale companiei, acordat de Autoritatea pentru Digitalizarea Rom\u00e2niei (ADR). De asemenea, operatorii de bancomate cripto trebuie s\u0103 ob\u021bin\u0103 dou\u0103 avize tehnice (pentru dispozitivul ATM, de la Institutul Na\u021bional de Cercetare-Dezvoltare \u00een Informatic\u0103, \u0219i pentru sistemul software, de la ADR) ca parte a procedurii de autorizare. Aceste m\u0103suri arat\u0103 c\u0103 autorit\u0103\u021bile rom\u00e2ne se concentreaz\u0103 pe robuste\u021bea tehnologic\u0103 \u0219i de securitate cibernetic\u0103 ca parte a supravegherii cripto.<\/p>\n<\/div><div class=\"fusion-title title fusion-title-3 fusion-sep-none fusion-title-text fusion-title-size-three\" style=\"--awb-margin-top:50px;\"><h3 class=\"fusion-title-heading title-heading-left\" style=\"margin:0;\"><h2>3. Cerin\u021be de autorizare pentru companiile cripto conform MiCA<\/h2><\/h3><\/div><div class=\"fusion-text fusion-text-4\"><p class=\"p1\">To\u021bi furnizorii de servicii cu criptoactive care vizeaz\u0103 pia\u021ba rom\u00e2neasc\u0103 vor trebui s\u0103 <b>se \u00eenregistreze sau s\u0103 ob\u021bin\u0103 autorizare<\/b> \u00een cadrul MiCA. MiCA \u00eensu\u0219i stabile\u0219te condi\u021biile de baz\u0103: un CASP trebuie s\u0103 fie o persoan\u0103 juridic\u0103 stabilit\u0103 \u00een UE, s\u0103 \u00eendeplineasc\u0103 cerin\u021be pruden\u021biale \u0219i organiza\u021bionale (inclusiv capital minim) \u0219i s\u0103 asigure c\u0103 persoanele din conducere sunt adecvate. Ordonan\u021ba rom\u00e2neasc\u0103 completeaz\u0103 aceste cerin\u021be cu mai multe criterii clare de licen\u021biere pentru CASP:<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\"><b>Conduit\u0103 fiscal\u0103 \u0219i juridic\u0103 irepro\u0219abil\u0103:<\/b> societatea solicitant\u0103 \u0219i administratorii s\u0103i trebuie s\u0103 <b>nu aib\u0103 datorii fiscale restante<\/b> la bugetul de stat \u0219i s\u0103 <b>nu aib\u0103 condamn\u0103ri penale relevante<\/b> sau men\u021biuni \u00een cazierul fiscal.<\/li>\n<li class=\"li1\"><b>Obiect de activitate definit:<\/b> companiile deja existente care desf\u0103\u0219oar\u0103 activit\u0103\u021bi cripto vor trebui s\u0103 \u00ee\u0219i actualizeze <b>obiectul de activitate<\/b> oficial pentru a include serviciile cu criptoactive \u0219i s\u0103 notifice autoritatea competent\u0103 (ASF sau BNR) cu privire la activit\u0103\u021bile lor.<\/li>\n<li class=\"li1\"><b>Conformitate tehnic\u0103 \u0219i de securitate:<\/b> solicitan\u021bii trebuie s\u0103 parcurg\u0103 <b>evaluarea tehnic\u0103<\/b> men\u021bionat\u0103 mai sus. Infrastructura IT a unei companii cripto (securitatea platformei, protec\u021bia datelor etc.) trebuie s\u0103 respecte standardele stabilite de ADR. De exemplu, platformelor de tranzac\u021bionare cripto li se poate cere s\u0103 efectueze <b>audituri tehnice<\/b> \u0219i s\u0103 asigure sisteme securizate at\u00e2t \u00eenainte, c\u00e2t \u0219i dup\u0103 licen\u021biere. \u00cen special, furnizorii de bancomate cripto trebuie s\u0103 implementeze m\u0103suri de securitate (identificarea utilizatorilor, criptare, amplasarea \u00een loca\u021bii sigure) conform cerin\u021belor proiectului de act normativ.<\/li>\n<li class=\"li1\"><b>Prezen\u021b\u0103 local\u0103 \u0219i guvernan\u021b\u0103:<\/b> de\u0219i nu se prevede expres \u00een textul ordonan\u021bei, practica general\u0103 \u00een cadrul MiCA va impune probabil ca CASP s\u0103 aib\u0103 sediul \u00een Rom\u00e2nia sau \u00een UE \u0219i o conducere local\u0103 pentru o supraveghere eficient\u0103.<\/li>\n<\/ul>\n<p class=\"p2\">Pentru fluidizarea implement\u0103rii, proiectul de act normativ \u00eemputernice\u0219te ASF s\u0103 emit\u0103 reglement\u0103ri secundare care s\u0103 detalieze procedura de autorizare \u0219i cerin\u021bele tehnice \u00een termen de 30 de zile de la intrarea \u00een vigoare a ordonan\u021bei. Aceasta \u00eenseamn\u0103 c\u0103 vor fi publicate \u00eendrum\u0103ri suplimentare (formulare de cerere, proceduri etc.), oferind companiilor cripto o foaie de parcurs clar\u0103 pentru a ob\u021bine licen\u021ba. \u00cenainte de a depune cererea de licen\u021biere la ASF, companiile trebuie \u00eens\u0103 s\u0103 ob\u021bin\u0103 <b>avizul tehnic al ADR<\/b> pentru platformele lor. Odat\u0103 \u00eendeplinite toate condi\u021biile, un CASP poate fi autorizat de ASF (sau de BNR, pentru entit\u0103\u021bile aflate sub competen\u021ba sa) \u0219i \u00eenscris \u00een registrul oficial, dob\u00e2ndind astfel dreptul de a opera legal \u00een Rom\u00e2nia \u00een cadrul regimului MiCA.<\/p>\n<\/div><div class=\"fusion-title title fusion-title-4 fusion-sep-none fusion-title-text fusion-title-size-three\" style=\"--awb-margin-top:50px;\"><h3 class=\"fusion-title-heading title-heading-left\" style=\"margin:0;\"><h2>4. Principalele obliga\u021bii ale furnizorilor de servicii cripto din Rom\u00e2nia<\/h2><\/h3><\/div><div class=\"fusion-text fusion-text-5\"><p class=\"p1\">Ob\u021binerea licen\u021bei este doar primul pas. Furnizorii de servicii cu criptoactive trebuie s\u0103 \u00eendeplineasc\u0103 \u00een mod continuu o serie de obliga\u021bii de conformitate conform MiCA \u0219i legisla\u021biei rom\u00e2ne. Principalele cerin\u021be continue includ:<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\"><b>Cerin\u021be de capital \u0219i pruden\u021biale:<\/b> CASP trebuie s\u0103 men\u021bin\u0103 fonduri proprii minime, conform MiCA (variabile \u00een func\u021bie de tipul serviciului, pentru a asigura stabilitatea financiar\u0103). Ace\u0219tia trebuie, de asemenea, s\u0103 de\u021bin\u0103 asigur\u0103ri sau garan\u021bii echivalente, dac\u0103 acest lucru este obligatoriu (de exemplu, pentru serviciile de custodie). Aceste cerin\u021be specifice provin direct din MiCA.<\/li>\n<li class=\"li1\"><b>Conformitatea cu legisla\u021bia privind prevenirea sp\u0103l\u0103rii banilor (AML):<\/b> Rom\u00e2nia integreaz\u0103 pe deplin furnizorii cripto \u00een regimul s\u0103u AML. Noua ordonan\u021b\u0103 trateaz\u0103 CASP la fel ca pe alte institu\u021bii financiare conform legisla\u021biei rom\u00e2ne privind sp\u0103larea banilor (<a href=\"https:\/\/asfromania.ro\/uploads\/articole\/attachments\/6079403aed7ef228811186.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Legea nr. 129\/2019<\/a>), ceea ce \u00eenseamn\u0103 c\u0103 trebuie s\u0103 implementeze programe AML solide. Acestea includ efectuarea de verific\u0103ri de cunoa\u0219tere a clientelei (KYC), monitorizarea tranzac\u021biilor, raportarea activit\u0103\u021bilor suspecte \u0219i desemnarea unui ofi\u021ber AML.<\/li>\n<li class=\"li1\"><b>Raportare \u0219i transparen\u021b\u0103:<\/b> companiile vor trebui s\u0103 prezinte rapoarte periodice c\u0103tre ASF\/BNR privind activit\u0103\u021bile \u0219i conformitatea lor. De asemenea, trebuie s\u0103 fie transparente fa\u021b\u0103 de clien\u021bi \u00een privin\u021ba comisioanelor \u0219i a riscurilor. De exemplu, operatorii platformelor de tranzac\u021bionare cripto sau ai bancomatelor cripto trebuie s\u0103 afi\u0219eze clar comisioanele, condi\u021biile de utilizare \u0219i avertismentele de risc adresate utilizatorilor. Comunic\u0103rile de marketing trebuie s\u0103 fie corecte \u0219i s\u0103 nu induc\u0103 \u00een eroare, conform regulilor MiCA privind protec\u021bia consumatorilor.<\/li>\n<li class=\"li1\"><b>Audituri tehnice \u0219i securitate:<\/b> proiectul prevede <b>audituri tehnice<\/b> periodice ale platformelor de criptoactive pentru a asigura standarde \u00eenalte de securitate. Dac\u0103 un furnizor \u00eenregistreaz\u0103 bre\u0219e de securitate repetate sau nu protejeaz\u0103 activele utilizatorilor, autorit\u0103\u021bile pot escalada m\u0103surile coercitive, put\u00e2nd chiar suspenda opera\u021biunile platformei pentru p\u00e2n\u0103 la trei ani \u00een cazuri extreme. Companiile cripto trebuie, prin urmare, s\u0103 investeasc\u0103 \u00een securitate cibernetic\u0103, rezilien\u021ba sistemelor \u0219i guvernan\u021ba IT. Mai precis, orice CASP existent (inclusiv platformele de schimb cripto, furnizorii de portofele \u0219i chiar operatorii de bancomate cripto) trebuie s\u0103 <b>depun\u0103 cererea de licen\u021biere la ASF \u00een termen de 30 de zile<\/b> de la intrarea \u00een vigoare a ordonan\u021bei. Aplicarea legii \u0219i sanc\u021biuni pentru neconformare<\/h2><\/h3><\/div><div class=\"fusion-text fusion-text-6\"><p class=\"p1\">Legea rom\u00e2neasc\u0103 privind criptoactivele introduce <b>sanc\u021biuni<\/b> pentru asigurarea conform\u0103rii. ASF (\u0219i BNR, pentru entit\u0103\u021bile aflate sub supravegherea sa) este \u00eemputernicit\u0103 s\u0103 dispun\u0103 o gam\u0103 larg\u0103 de m\u0103suri coercitive \u00een cazul \u00een care un furnizor \u00eencalc\u0103 MiCA sau reglement\u0103rile locale:<\/p>\n<ul class=\"ul1\">\n<li class=\"li1\"><b>Amenzi contraven\u021bionale:<\/b> pot fi aplicate penalit\u0103\u021bi pecuniare semnificative companiilor (\u0219i, eventual, persoanelor responsabile) pentru \u00eenc\u0103lc\u0103ri.
